Gordon V. Smith,
Chairman

Mr. Smith has been a frequent lecturer at the National University of Singapore and Singapore Management University as well as for IP Academy Singapore, WIPO, and other global institutions. He has authored and co-authored books and articles that have been translated extensively and are considered authoritative sources worldwide. Mr. Smith has been helping to develop IP Valuation standards in Southeast Asia, where he contributes with regional organizations.

Mr. Smith co-founded RoyaltySource in 1997. Since then, his guidance as an experienced IP appraiser has been paramount to the proper collection of IP data and to the judicious development of proxy search designs.

Mr. Smith earned his BA from Harvard University in 1959.

David Weiler,

Dave founded RoyaltySource^® in 1997 after 13 years of serving the IP industry as a valuation and litigation specialist. With almost 30 years of experience in these areas, Dave leads this team of experts. His experience and advice ensure that clients get the most accurate and reliable data.

He is often enjoying outdoor activities along the Delmarva Peninsula shoreline.

Dave holds a BS in Finance from Drexel.

Royalty Rates

Concept: RoyaltySource has been tracking intellectual property news and licenses related to technology (patent, know-how, trade secret, and business method), software, trademark, trade name, brand or logo, copyright and right of publicity for 30 years. In addition, we also collect franchise agreements as well as fee agreements such as agency/representation, commission sales, consultant, services agreements, etc.

We apply a two-tier screening process to ensure the most comprehensive database of royalty payments, without the inclusion of irrelevant records. Using proprietary technology, our IT specialists pre-screen the massive amount of information, selecting only those transactions containing royalty rates (%). The second tier is performed by intellectual property experts. They check record by record to assure that RoyaltySource's clients receive comprehensive and relevant data. Usability: Clients use our reports for several purposes, including license agreement negotiation, valuation, litigation, infringement damage measurement, and transfer pricing.

Deliverable: We will forward you a login to access a summarized list of records based on your request. You select and pay for only those that are relevant to you.

Q:	What type of agreements are included in the database?

We have Intellectual Property and Intangible Asset license agreements. We also have Franchise agreements and other Fee related agreements. The Fee agreements include: Service, Commission Sale, Management, Consultant, Representation/Agency and etc. We do not collect agreements related to mineral rights (such as gas, ore, iron, and gravel).

Q:	What is the source of your information?

Our primary source is the US SEC Filings. We also expand that source to include periodicals such as newspaper articles, professional journal articles and press releases. From these sources we find US and non-US agreements. For the US SEC Filing sources, i.e. 10-k, 10-Q, S-1 etc. and periodicals where an actual agreement is not available, the information varies from that detailed in an actual agreement. However, the minimum details included in our records are the names of the parties to the license, a description of the property licensed, and the royalty rate charged.

Q:	How often do you update your database?

Every day. We constantly search for agreements.

Q:	How many years of agreements are available in the database?

The beginning of our efforts to collect and report licensing data started in September 1990. That data formed the core of our database offering in June 1997. We do not have all licenses from September 1990 until now. Electronic reporting of US SEC Filings began in 1995 and we have been actively searching those files every day since that time to capture the publicly-released agreements.

Q:	Does the database include agreements from around the world?

Yes. We include all agreements, but most of the agreements involve U.S. parties. Within each agreement, the rights to specific geographic territories is defined and covered in our database if our source of information reports that data.

Q:	Does the database include Renewed or Renegotiated agreements?

If a renewed or renegotiated agreement included a royalty payment indication and it was released to the public, we have the agreement.

Q:	Do you report if the parties to the agreements are related or unrelated?

The simple answer is sometimes. If the source of information clearly states the relationship between the parties, we will capture that information. Further, investigation by the researcher may help add clarity to the relationship of the parties after purchase.

Q:	Do you provide copy of standard user agreement for each royalty request review?

While we do not have a formal licensing contract that details the limitations on the usage of our data, we do expect our clients to conform to the following terms and conditions. We understand that our licensed data will be used as support in professional reports and testimony. We do limit the use of our data to providing that professional service. If you want to share the data with other professionals in your firm for use in other reports and testimony, that is fine. If you plan to use the data for presentations or educational purposes, we simply ask that you give a call and let us know. However, proper attribution is expected in all uses. Finally, we prohibit the reselling of our data or sharing it with our competitors.
